1. Definitions and scope

In these Terms and Conditions (“Terms”), “VENYL”, “we” and “us” refer to VENYL, a brand of Next Focus Group, 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. “Customer” or “you” means any person or company that uses this website, requests a quotation or places an order. “Products” means heat transfer vinyl, self-adhesive vinyl, DTF film, cutters, accessories and any other goods; “Services” means OEM production, colour matching, cut and weeded transfers, logistics, training and support.

These Terms apply to all quotations, orders, deliveries and services unless otherwise agreed in writing. Deviating terms of the Customer apply only if we expressly accept them in writing.

2. Use of the website

The content of this website is provided for general information about our products and services. Technical data, application settings and recommendations are based on our tests and experience but are given without obligation; they do not release the Customer from testing the suitability of Products for the intended purpose, fabric and equipment. You may not use the website in any way that damages it, disrupts its availability, or is unlawful or fraudulent.

3. Quotations and conclusion of contract

• Our quotations are non-binding and valid for 30 days unless stated otherwise.
• A contract is concluded when we confirm an order in writing (order confirmation or pro-forma invoice) or when we deliver the Products.
• Product descriptions, colour cards and images are indicative. Minor deviations in colour, thickness or dimensions within industry tolerances do not constitute a defect. Screen colours may differ from real colours.
• Submitting a form on this website is a request for information and does not create a binding order.

4. Prices and payment

• Prices are stated in the currency of the quotation, exclusive of VAT, duties, customs clearance fees and shipping costs unless stated otherwise.
• Unless agreed otherwise, payment is due by bank transfer (T/T): 30% deposit on order confirmation and 70% balance before shipment. Sample orders and small orders are payable 100% in advance.
• Bank charges on the payer's side are borne by the Customer.
• In case of late payment we may charge statutory interest, suspend further deliveries and, after a reasonable grace period, withdraw from the contract.

5. Custom and OEM orders

For private-label, custom-colour and cut-and-weeded products, the Customer is responsible for the correctness of artwork, colour references, texts, barcodes and quantities in the approved proof. Once a proof or lab dip is approved and production has started, orders cannot be cancelled. Industry-standard over- or under-delivery of up to ±5% of the ordered quantity for custom production is accepted and invoiced accordingly.

The Customer warrants that artwork and trademarks supplied to us do not infringe third-party rights and shall indemnify VENYL against any claims arising from such infringement.

6. Delivery, transfer of risk and delays

• Delivery terms are based on the Incoterms® 2020 rule stated in the order confirmation (e.g. EXW, FOB, CIF, DAP). If none is stated, FOB Shenzhen applies.
• Delivery times are estimates unless expressly agreed as fixed. Partial deliveries are permitted.
• Risk passes to the Customer in accordance with the agreed Incoterm.
• We are not liable for delays caused by force majeure, including natural disasters, epidemics, war, strikes, port congestion, customs inspections, energy shortages or supplier failures beyond our control. In such cases, delivery dates are extended appropriately.

7. Inspection and complaints

The Customer must inspect Products upon receipt. Visible transport damage must be noted on the delivery receipt and reported within 3 working days with photographs. Other defects must be reported in writing within 14 days of receipt, stating batch number, roll label, description of the defect, photos and, where applicable, pressed samples. Hidden defects must be reported within 14 days of discovery.

8. Warranty

We warrant that Products conform to the specifications stated in our order confirmation at the time of delivery. For Products used under recommended conditions, heat transfer vinyl is warranted to be free from material defects for 12 months from delivery when stored correctly (15–25 °C, 40–60% relative humidity, away from direct sunlight, rolls stored upright or suspended).

The warranty does not cover defects caused by improper storage, unsuitable fabrics or coatings, incorrect cutting or application settings, failure to follow care instructions, normal wear, or modifications by the Customer. In the event of a justified complaint we will, at our discretion, replace the Products, credit the purchase price of the defective quantity, or repair where applicable.

9. Limitation of liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded by law. Subject to this, VENYL shall not be liable for indirect or consequential losses, loss of profit, loss of production or damage to garments or materials to which the Products were applied. Our total liability arising from any order is limited to the price paid for the Products concerned.

Because results depend on the substrate and application, the Customer should always test Products on the actual garment before series production. Damage to garments arising from untested production is excluded from liability.

10. Retention of title

Products remain our property until full payment of all amounts due under the contract. Until then, the Customer shall store the Products separately and insure them adequately.

11. Consumers

If you buy as a consumer, you have statutory rights, including the right to cancel certain distance contracts within 14 days in the UK and EU. These Terms do not affect your statutory rights. Custom-made or personalised items (e.g. cut and weeded transfers made to your artwork) are excluded from the right of cancellation.

12. Intellectual property

All content on this website – including texts, product photos, logos, colour cards, graphics and page design – is owned by VENYL or its licensors and is protected by copyright and trademark law. You may view and print pages for personal or internal business use. Any other reproduction, distribution or commercial use requires our prior written consent. Third-party logos shown on this website remain the property of their respective owners. VENYL® is a trademark of Next Focus Group.

13. Confidentiality

Both parties shall keep confidential all non-public information received from the other party, including pricing, formulations, colour recipes, customer lists and artwork, and use it only for performing the contract.

14. Governing law and jurisdiction

These Terms and all contracts concluded under them are governed by the laws of England and Wales. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. The courts of London have exclusive jurisdiction, unless mandatory consumer protection law provides otherwise. We may alternatively agree arbitration with business customers in writing.

15. Final provisions

If any provision of these Terms is found invalid, the remaining provisions remain in force. We may amend these Terms from time to time; the version valid at the time of the order confirmation applies. Questions about these Terms can be sent to [email protected].
